Keystone Law advises DesignMyNight on its M&A Sale to private-equity-owned The Access Group

Keystone Law, led by corporate lawyer Nadim Zaman, has advised technology company WFL Media, trading as DesignMyNight, on its sale to leading business management software provider, The Access Group - a portfolio company of global private equity firm TA Associates, which acquired its majority stake from growth capital investor Lyceum Capital back in 2015.

Keystone provided full-service legal advice to DesignMyNight with the broader team comprising key specialists Bruno Fatier (Financial Services), Tom Daltry (Tax), Denham Bell (Employment), Suzie Schmitz (Commercial) and Albert Mennen (Corporate). First Capital was the appointed corporate finance adviser on the sell-side, with Travers Smith LLP acting for the purchaser.

Co-founded by Andrew Webster and Nick Telson in 2009, DesignMyNight is a high-growth technology company, with two SaaS products in the market: “Collins”, a reservation and enquiry management tool for casual dining, restaurants, bars and pubs and “Tonic”, an event ticketing and marketing platform. Combined, the two products will expand The Access Group business, creating what is intended to be a unique and exciting end-to-end software suite for the hospitality sector in the UK.

Nick said of the purchaser:

As one of the fastest growing technology providers in the UK, we are confident that The Access Group is the right partner to take what we have achieved so far with DesignMyNight to the next level. They already have a great set of products that we know well, like Intelligent Business Systems and SelimaHR, so the synergies are clear and extremely exciting.”

Andrew said of the deal:

"Keystone Law was the guiding light we required, going through an unknown yet exciting process for the first time as entrepreneurs exiting. Nadim Zaman was impressive with his support, negotiating, clarity and appreciation of the ebbs and flows that a sale process brings. We trusted Nadim fully to ensure we were protected from a legal perspective. We look forward to working with Keystone and Nadim in the future."

Nadim commented:

“It is incredibly satisfying to work with an innovative company on a journey that culminates in a successful M&A sale process. This is an area of expertise for the firm and we are delighted to be part of this terrific result for Andrew, Nick and the company’s supportive investors.”
